| Аннотация: | Процесс перераспределения прав собственности на различные ресурсы в современной экономике носит широкий характер и осуществляется перманентно. Непосредственно консолидация активов компаний происходит путем их
слияния или поглощения. Необходимо анализировать изменения в организации компаний, возникающие в результате корпоративных слияний и соответствующих им управленческих процессов.
Многоаспектность феномена корпоративных
слияний привела к появлению значительного числа подходов к их пониманию и моделированию в рамках разных научных дисциплин. Развернутый прикладной анализ воздействия корпоративных слияний на организацию и управление бизнесом
должен опираться на раскрытие сделки слияния
как единицы анализа в правовом, учетном и экономическом аспектах. |
| Описание: | The redistribution of property rights to various resources in the modern economy is broad and carried out permanently. Economic agents tend to coarsen the companies, believing that it should bring a variety of benefits. In practice, however, the corresponding effect is often not achieved, which in turn becomes the subject of study economics.
The companies’ asset consolidation is going
directly through mergers or acquisitions. It is interesting how mergers affect the organization and management of companies. To understand this it is necessary to analyze the changes in the organization of companies arising from mergers and corresponding management processes.
Multidimensionality of the mergers’ phenomenon led to a significant number of approaches to their understanding and modeling within different scientific disciplines. Empirical studies argue that
the implementation of transactions do not fully take into account all relevant factors, which leads to inconsistent results. The issues of corporate mergers’
influence on the business organization and management are not researched enough.
Advanced applied analysis of the corporate
mergers’ impact on the organization and management of the business should be based on the disclosure of mergers as the unit of analysis in the legal, accounting and economic aspects and include a number of components: a qualitative analysis of the
characteristics of mergers to determine their appropriate and actual forms, quantitative analysis of a set of indicators of organizational and managerial
effectiveness of mergers for their members - measurable and comparable, assessment of organizational effectiveness of a merger as changes in the market value of the participant; assessment of managerial
efficiency of a merger as a change in control as a quality management structure and financial indicators, the calculation of effectiveness integral evaluations; assessment of the role of institutions – doing business, interacting with the authorities, protecting the property rights. |
